5. Content — No Investment Advice
5.1 Informational purposes only
All Content is provided for informational purposes only. Nothing on the Platform constitutes investment advice, financial advice, tax advice, legal advice, or any other professional advice. Content does not constitute a recommendation, endorsement, solicitation, or offer to buy, sell, or hold any security, investment, fund, or financial instrument. Users are solely responsible for their own investment decisions.
5.2 Third-party data
Certain Content incorporates data sourced from third-party providers, fund managers, and other external sources. Pyrite makes reasonable efforts to verify and correct such data but does not warrant its accuracy, completeness, or timeliness. Pyrite does not warrant the accuracy, completeness or timeliness of third-party data; however, Pyrite will not disclaim liability to the extent a loss is caused by Pyrite's gross negligence or willful misconduct, including failure to correct inaccuracies that Pyrite has confirmed in writing.
The Pyrite database includes fund data and performance records submitted directly by fund operators ("User-Published Funds"). Pyrite's acceptance of a fund for publication is limited to a format and eligibility review; it does not constitute an audit, verification, endorsement, or representation as to the accuracy, completeness, or timeliness of the performance data, the competence of the fund's operators, or the suitability of the fund for any investment purpose. User-Published Funds may remain in the Pyrite database after the originating account holder's account has been closed or terminated. Upon reasonable written request from the originating account holder, Pyrite will remove or de identify User Published Funds submitted by that account holder within a commercially reasonable time, except to the extent retention is required by law, regulation, or legitimate archival and audit purposes.
5.3 Historical data and analytical outputs
Content includes historical performance data, analytical outputs, scores, and statistical results. Such outputs are based on historical data and statistical methods and must not be construed as projections, estimates, forecasts, or predictions of future performance. Past performance is not indicative of future results.
5.4 Content changes
Pyrite may modify, update, or remove Content at any time without notice. Pyrite does not guarantee the continuous availability of any specific Content or data series.
6. User Data
6.1 Ownership
As between Pyrite and the User, all User Data remains the property of the User. Users grant Pyrite a limited, non-exclusive license to process User Data solely to the extent necessary to provide the Platform services.
6.2 User responsibilities
Users are solely responsible for ensuring, to the extent within their knowledge and reasonable control, that User Data uploaded by Users complies with applicable law and does not infringe third party rights. Users must not upload any data that: (a) is confidential or subject to third-party restrictions that prevent its use on the Platform; (b) contains personal data of individuals without appropriate consent or other lawful basis; (c) violates applicable law; or (d) infringes the intellectual property rights of any third party. Nothing in this Section 6.2 limits Pyrite's responsibility for its own processing of User Data in providing the Platform, including compliance obligations that applicable law imposes directly on Pyrite for such processing.
6.3 Pyrite's use of aggregated data
Aggregated and anonymized data. Pyrite may use aggregated, de-identified, and anonymized data derived from User Data and Platform usage for internal product development, research, and statistical purposes. Pyrite will not use privately uploaded User Data to identify or contact any individual user's clients or investors.
Nominative use of publicly available fund information. Where a User has voluntarily made information about a fund publicly available — whether through the Fund Publication Declaration process resulting in the fund appearing in the Pyrite public database, or through the fund's own independent public disclosures including its website, regulatory filings, public fund databases, or marketing materials distributed to potential investors — Pyrite may use, display, and reference that information ("Public Fund Information") for any legitimate platform or business purpose. Permitted uses of Public Fund Information include: (a) displaying and analyzing the fund within the Platform and making it available to Track C subscribers; (b) referencing the fund by its legal or commercial name in platform demonstrations, marketing materials, case studies, aggregate analyses, and investor presentations by Pyrite; (c) identifying the fund as a fund analyzed on the Platform in Pyrite's public communications; and (d) incorporating the fund's publicly disclosed data into the Pyrite database.
Pyrite's rights under this Section 6.3 extend only to information the fund or fund operator has made available through public channels independently of any confidential data protection. They do not modify or supersede the Data Upload and Confidentiality Agreement. Pyrite's rights to use confidential performance data uploaded privately by a user are governed exclusively by that Agreement.
7. Intellectual Property
7.1 Pyrite's rights
The Platform, all Content (excluding User Data and third-party data used under license), all software, algorithms, models, methodologies, trade secrets, and other intellectual property embodied in or underlying the Platform are the exclusive property of Pyrite or its licensors. Nothing in these Terms transfers any intellectual property rights to the User.
7.2 Trademarks
'Pyrite Risk Experts,' the Pyrite logo, and any other Pyrite brand names or product names used on the Platform are trademarks or registered trademarks of Pyrite Risk Experts, Inc. Users may not use any Pyrite trademark without Pyrite's prior written consent.
7.3 Feedback
If a User provides Pyrite with feedback, suggestions, or ideas regarding the Platform ('Feedback'), Pyrite may use such Feedback freely without restriction, compensation, or attribution. Feedback does not constitute confidential information.
8. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT ARE PROVIDED 'AS IS' AND 'AS AVAILABLE,' WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. PYRITE DOES NOT WARRANT THAT THE PLATFORM WILL BE FREE FROM ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.
For paid subscriptions, Pyrite warrants that the Platform will materially conform to its applicable documentation under normal use during the subscription term, and Pyrite will use commercially reasonable efforts to correct material nonconformities reported by User.
Notwithstanding the foregoing disclaimers, Pyrite will use commercially reasonable efforts to implement and maintain administrative, technical, and physical safeguards designed to protect the security and integrity of the Platform.
9. Limitation of Liability
9.1 Exclusion of consequential loss
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PYRITE AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE TO ANY USER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF PYRITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.2 Cap on liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PYRITE'S TOTAL AGGREGATE LIABILITY TO ANY USER FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THAT USER TO PYRITE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE THE USER FIRST DELIVERS WRITTEN NOTICE ASSERTING THE CLAIM. The cap will be calculated based on subscription fees actually paid by the user to pyrite during such TWELVE (12) MONTH period, excluding any refunded amounts and credits actually applied. The cap shall not apply to pyrite’s breach of CONFIDENTIALITY, data security obligations, infringement of THIRD-PARTY intellectual property rights, or to pYRITE’S willful conduct or gross negligence. For claims arising from pyrite's breach of confidentiality or data security obligations, PYRITE’S total aggregate liability shall not exceed THREE (3) times the subscription fees paid by user in the TWELVE (12) months preceding the event giving rise to the claim.
9.3 Exceptions
Nothing in these Terms limits or excludes Pyrite's liability for: (a) death or personal injury caused by Pyrite's gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; (c) Pyrite’s breach of confidentiality or data security obligations; (d) infringement of third party intellectual rights; or (e) any liability that cannot by law be limited or excluded in the relevant jurisdiction.
10. Payment Processing and Subscriptions
10.1 Payment processor
Pyrite uses Stripe, Inc. ('Stripe') as its third-party payment processor. By providing payment information at registration, Users authorize Pyrite and Stripe to charge applicable Subscription Fees to the payment method on file. Users' payment card information is processed and stored by Stripe subject to Stripe's Terms of Service and Privacy Policy (available at stripe.com/legal). Pyrite does not store complete payment card numbers or full banking credentials. Users acknowledge and agree to be bound by Stripe's terms of service as they apply to payment processing.
10.2 Subscription fees and billing
Subscription Fees are established at registration and displayed on the Pyrite pricing page at www.PyriteRE.com/pricing.Certain Platform features, including the AI analytics agent, consume computational tokens generated by third-party large language model APIs ("Token Usage"). Token Usage constitutes a variable, metered charge distinct from Subscription Fees. In addition to any applicable subscription fee, Pyrite will charge you for Token Usage at rates published on the Pyrite pricing page (or as otherwise communicated to you at account registration). Pyrite's Token Usage charges include a markup over the underlying API cost. Pyrite may update Token Usage rates at any time upon not less than fourteen (14) days' advance notice to the User by email or Platform notification. Continued use of AI-powered features after the effective date of a rate change constitutes acceptance of the updated rates. All Token Usage charges are non-refundable except as required by applicable law.
10.3 Account management, upgrades, and cancellation.
Users may upgrade their subscription tier, modify their account type, or cancel their registration at any time through the account management page accessible within the Platform.
SUBSCRIPTIONS AUTOMATICALLY RENEW AT THE END OF EACH SUBSCRIPTION PERIOD (MONTHLY OR ANNUAL, AS SELECTED BY THE USER) UNLESS THE USER CANCELS THROUGH THE ACCOUNT MANAGEMENT PAGE AT LEAST THIRTY (30) DAYS BEFORE THE END OF THE CURRENT SUBSCRIPTION PERIOD. CANCELLATION TAKES EFFECT AT THE END OF THE THEN-CURRENT SUBSCRIPTION PERIOD; NO PARTIAL-PERIOD REFUNDS WILL BE ISSUED UNLESS REQUIRED BY APPLICABLE LAW.
Upgrades to a higher subscription tier take effect immediately upon confirmation, and the Subscription Fee for the new tier will be prorated for the remainder of the current subscription period. Pyrite will charge the applicable fees to the payment method on file at the start of each renewal period or at the time of an upgrade, as applicable.
10.4 Price changes
Pyrite reserves the right to change Subscription Fees only upon renewal of the then-current subscription term and shall not apply retroactively or during any prepaid or committed term. Any change to Subscription Fees shall apply only at renewal and Pyrite will provide thirty (30) days' prior written notice to the User's registered email address. Continued use of the Platform after the effective date of any fee change constitutes acceptance of the new Subscription Fees. If a User does not accept a fee change, they must cancel their subscription before the effective date.
10.5 Taxes
Users are responsible for all applicable taxes, levies, duties, or withholdings imposed by any taxing authority in connection with Subscription Fees. Pyrite will collect and remit taxes where required by applicable law and will provide tax documentation upon request.
10.6 No refunds
All Subscription Fees are non-refundable except as expressly required by applicable law or as determined at Pyrite's sole discretion in exceptional circumstances. Pyrite does not provide pro-rated refunds for partial subscription periods or for unused Platform access. If a User cancels mid-period, access continues until the end of the paid period.
10.7 Failed payments
If any payment fails, Pyrite may: (a) suspend or restrict the User's access to the Platform without notice; (b) reattempt to charge the payment method on file; and (c) charge reasonable fees for returned payments or chargebacks (Not to exceed actual third-party costs documented upon request). Pyrite reserves the right to terminate the User's Account if payment remains outstanding for more than fifteen (15) days after the due date. Pyrite will reinstate access promptly upon receipt of all past due amounts and applicable documented third-party fees.
11. Indemnification and Legal Cost Recovery
11.1 User indemnification
Users shall indemnify, defend, and hold harmless Pyrite and its affiliates, officers, directors, employees, and agents from and against third party claims, actions, or proceedings, and the resulting Losses, to the extent directly caused by: (a) the User's access to or use of the Platform; (b) any breach by the User of these Terms; (c) any false or misleading information provided by the User in the Registration Form or Certification Form; (d) any User Data uploaded to the Platform; (e) the User's violation of any applicable law; or (f) the User's disclosure, sharing, transmission, or communication of Platform Content to any third party, including any claim, action, or proceeding brought by or on behalf of such third party in connection with that Content.
“Losses” means amounts finally awarded to such third party or paid in settlement approved in writing by the indemnifying party, plus reasonable external attorney’s fees and court costs incurred in defending the third party claim, and excludes internal overhead and consequential, incidental, or punitive damages except to the extent awarded to a third party.
Pyrite shall indemnify and hold harmless the User from third party claims alleging that the Platform, as provided by Pyrite, infringes any United States intellectual property right.
11.2 Recovery of legal costs
If either User or Pyrite commences any claim, action, suit, or proceeding against the other arising out of or relating to these Terms or the Platform, the party which prevails in such claim shall reimburse the other for its reasonable attorneys' fees and all costs and expenses incurred in connection with such claim. This provision applies to the fullest extent permitted by applicable law.
12. Confidentiality
12.1 Platform confidentiality
Users acknowledge that the Platform and all Content (including methodologies, data structures, analytical models, and non-public fund data) constitute confidential and proprietary information of Pyrite or its data providers. Users must maintain the strict confidentiality of all Content and must not disclose Content to any third party without Pyrite's prior written consent.
12.2 Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the User; (b) was known to the User prior to disclosure by Pyrite; (c) is independently developed by the User without reference to Pyrite's confidential information; or (d) must be disclosed by applicable law, court order, or regulatory requirement, provided the User gives Pyrite prompt written notice (where legally permissible) and cooperates with Pyrite's efforts to seek a protective order.
13. Privacy and Data Protection
13.1 Privacy Policy
Pyrite's collection and use of personal data is governed by its Privacy Policy, (/privacy) which is incorporated into these Terms by reference and was acknowledged by Users at registration. By accessing the Platform, Users confirm their ongoing acknowledgment of the Privacy Policy as updated from time to time.
13.2 Regulatory cooperation
Pyrite cooperates with law enforcement agencies, securities regulators, financial regulatory bodies, and other governmental authorities. Pyrite may disclose User information, account records, and Platform activity to such entities where required or permitted by applicable law. Nothing in these Terms limits Pyrite's ability to cooperate with competent authorities in connection with any investigation, enforcement action, or legal proceeding.
14. Term and Termination
14.1 Term
These Terms commence on the date the User accesses, browses or uses the website (or the Platform) including registration and any publicly available pages and continue until terminated in accordance with this Section 14.
14.2 Termination by User
Users may terminate their Account at any time through the account management page at www.PyriteRE.com/account (or such other URL as Pyrite may designate). Termination takes effect at the end of the then-current subscription period, or immediately if the User has no active paid subscription. Alternatively, Users may request termination by written notice to legal@pyrite.com; in that case termination takes effect within five (5) business days of Pyrite's receipt of notice. If the User terminates due to a material breach of these terms by Pyrite that Pyrite fails to cure within thirty (30) days after written notice, Pyrite will refund the prorated portion of any prepaid Subscription Fees for the unused period.
14.3 Termination by Pyrite
Pyrite may terminate any User's Account: (a) immediately upon written notice for material breach of these Terms (including loss of investor eligibility); (b) for convenience only effective at the end of the then- current paid subscription term; or (c) immediately if required by applicable law or a competent regulatory authority.
14.4 Effect of termination
Upon termination: (a) the User's license to access the Platform ceases immediately; (b) the User must delete or return any Content in their possession that was downloaded from the Platform; (c) all accrued rights and obligations survive termination, including Sections 7, 8, 9, 11, 12, 13 and 15.
15. Governing Law and Dispute Resolution
15.1 Governing law — all users
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (including any claim concerning the validity of this governing law clause) shall be governed exclusively by the laws of the State of New York, United States of America, without regard to conflict of laws principles.
15.2 Dispute resolution — arbitration
All disputes arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, as follows: (a) the arbitrator, and not the court, shall have exclusive authority to resolve any dispute regarding the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable; and (b) the arbitrator may award fees and costs in accordance with applicable law and the rules, with the parties bearing JAMS and arbitrator fees as allocated in the award, seated in New York City, New York, USA. Judgment upon the arbitration award may be entered in any court of competent jurisdiction. The arbitration shall be conducted in English.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from any court of competent jurisdiction to preserve the status quo or protect intellectual property or confidential information pending arbitration.
15.3 Mandatory regulatory carve-outs
The choice of New York law does not affect: (i) the mandatory application of applicable UK financial regulatory law (including the Financial Services and Markets Act 2000 and the Financial Promotion Order 2005) to UK users; (ii) the UK GDPR and the Data Protection Act 2018 with respect to the processing of personal data of UK residents; (iii) mandatory provisions of applicable Canadian provincial securities laws (including disclosure obligations under NI 31-103 Section 8.26 applicable to Canadian users); or (iv) PIPEDA and applicable provincial privacy legislation with respect to the processing of personal data of Canadian residents.
15.4 Class action waiver
Each User agrees to bring any dispute against Pyrite only in their individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action or proceeding. The enforceability of this Section 15.4 and any determination of whether class, collective, or representative procedures are permitted will be governed by the law specified in this Agreement and to the extent applicable, the Federal Arbitration Act. If any portion of this Section 15.4 is held unenforceable, that portion will be severed and the remainder of this Section 15.4 will remain in full force in effect, and any claim to proceed on a class, collective, or representative basis will be brought only in a court of competent jurisdiction rather than in arbitration. If a court of competent jurisdiction determines that this Section 15.4 is unenforceable as to a particular claim or request for relief, then that claim or request for relief shall proceed in court, and all other claims shall be resolved by individual arbitration as provided in Section 15.2.
16. General Provisions
16.1 Entire agreement
These Terms, together with the Platform Disclaimer, Investor Certification Form, and Privacy Policy, constitute the entire agreement between Pyrite and each User with respect to access to and use of the Platform, and supersede all prior and contemporaneous understandings and agreements relating to the same subject matter.
16.2 Amendments
Pyrite may amend these Terms at any time by posting the updated Terms on the Platform and notifying Users by email. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the amended Terms. If a User does not accept the amended Terms, they must terminate their Account.
16.3 Severability
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
16.4 Waiver
Pyrite's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
16.5 Assignment
Users may not assign their rights or obligations under these Terms without Pyrite's prior written consent. Pyrite may freely assign its rights and obligations under these Terms to any affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets provided that the assignee agrees in writing to assume all Pyrite obligations under these Terms and the assignment does not materially diminish User rights or materially increase User obligations; Pyrite will provide User with notice of the assignment.
16.6 Notices
All notices from Users to Pyrite should be sent to legal@pyrite.com. Notices from Pyrite to Users will be sent to the email address provided during registration. Notices are deemed received on the day of sending, provided no delivery failure notification is received.
16.7 Force majeure
Pyrite is not liable for any failure or delay in performing its obligations under these Terms to the extent caused by circumstances beyond Pyrite's reasonable control, including acts of God, natural disasters, pandemics, acts of government, war, terrorism, cyberattacks, or failures of third-party service providers. If a force majeure event prevents Pyrite from providing material platform functionality for more than thirty (30) days, User may terminate the Terms upon written notice and Pyrite will refund any prepaid fees for the unused portion of the subscription term.
16.8 Language
These Terms are written in English. Any translation is provided for convenience only. In the event of any conflict between the English version and any translation, the English version shall prevail.
