Part I — General Disclaimer (All Jurisdictions)

1. No Investment Advice

The Platform and all content, data, analytics, reports, models, scores, rankings, and other materials made available through it (collectively, “Content”) are provided for informational purposes only. Nothing on the Platform constitutes, or should be construed as, investment advice, financial advice, tax advice, legal advice, or any other professional advice. Content does not constitute a recommendation, endorsement, solicitation, or offer to buy, sell, or hold any security, investment, fund, or other financial instrument. Users should seek independent professional advice before making any investment decision.

2. No Investment Adviser Registration

Pyrite Risk Experts, Inc. (and its affiliates, “Pyrite”) is not registered with the US Securities and Exchange Commission (SEC) as an investment adviser under the Investment Advisers Act of 1940, is not a member of FINRA, is not authorized or regulated by the UK Financial Conduct Authority (FCA), is not registered with any Canadian provincial securities regulator, and does not hold any investment advisory, brokerage, or portfolio management authorization in any jurisdiction. Pyrite provides data and analytical tools only.

3. No Fiduciary Duty

Pyrite does not act as a fiduciary to any Platform user. No fiduciary, advisory, or other similar relationship arises from access to or use of the Platform.

4. Data and Analytics — Limitations

All Content on the Platform is derived from data provided by third-party sources, fund managers, and other data providers. Pyrite makes reasonable efforts to verify and correct the data it receives from third-party providers; however, Pyrite cannot guarantee the accuracy, completeness, or timeliness of such data and must rely in significant part on data providers’ representations. Users should independently verify any data before relying on it.

Analytics, models, and outputs generated by the Platform are based on historical data and statistical methods. Statistical methods, by their nature, provide insights into cross-sectional patterns and likelihoods across a dataset. They are not designed to produce accurate outputs for every individual measure or observation. As a consequence, any individual result, score, or measure generated by the Platform should be treated with caution when considered independently of the broader dataset or without reference to the distributional context in which it was produced. Past performance is not indicative of future results.

5. Analytical Outputs — Not Forward-Looking Statements

The Platform does not generate projections, estimates, forecasts, or other forward-looking statements. Any analytical output, calculation, score, ranking, or model result provided through the Platform is a data-analytical output based on historical information and statistical methodology. Such outputs must not be construed as a projection, estimate, forecast, or prediction of future performance, outcomes, or events. Users are solely responsible for any forward-looking interpretation they may draw from Platform Content.

6. Intellectual Property and Use Restrictions

All Content on the Platform is the proprietary and confidential information of Pyrite or its licensors. Users are granted a limited, non-exclusive, non-transferable license to access the Platform for their own internal business purposes only. No Content may be reproduced, distributed, published, resold, or otherwise used for any commercial purpose without the prior written consent of Pyrite.

Users may not download, extract, or export raw or computed results from the Platform in bulk, whether through automated means or manual compilation. Individual outputs accessed through the Platform’s standard interface may be used internally only, subject to the foregoing license.

Any user who shares, transmits, communicates, or otherwise makes Platform Content available to any third party — whether or not in violation of these restrictions — agrees to indemnify and hold harmless Pyrite and its affiliates, officers, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising from or relating to any action, claim, demand, or proceeding brought by or on behalf of such third party in connection with that Content.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PYRITE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR IN CONNECTION WITH ACCESS TO OR USE OF THE PLATFORM OR ANY CONTENT, EVEN IF PYRITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PYRITE’S TOTAL AGGREGATE LIABILITY TO ANY USER FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM EXCEED THE TOTAL FEES PAID BY THAT USER TO PYRITE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

USERS’ SOLE REMEDY FOR DISSATISFACTION WITH THE PLATFORM OR ANY CONTENT IS TO DISCONTINUE USE OF THE PLATFORM.

8. Third-Party Data

The Platform may incorporate data sourced from third parties (including fund databases, index providers, and market data vendors). Such data is provided “as is.” Pyrite does not warrant the accuracy or completeness of third-party data and accepts no liability for errors or omissions in third-party data.

The Pyrite database includes fund data and performance records submitted directly by fund operators (“User-Published Funds”). Pyrite’s acceptance of a fund for publication is limited to a format and eligibility review; it does not constitute an audit, verification, endorsement, or representation as to the accuracy, completeness, or timeliness of the performance data, the competence of the fund’s operators, or the suitability of the fund for any investment purpose. User-Published Funds may remain in the Pyrite database after the originating account holder’s account has been closed or terminated.

9. Privacy and Data Protection

Pyrite collects and processes personal data in accordance with its Privacy Policy, which is incorporated by reference into this Disclaimer. Users in the United Kingdom and Canada have additional rights under applicable data protection legislation as described in the Privacy Policy and in Parts III and IV of this Disclaimer.

10. Regulatory Cooperation and Law Enforcement

Pyrite cooperates with law enforcement agencies, securities regulators, financial regulatory bodies, and other governmental authorities and may disclose user information, account records, and Platform activity data to such entities where required or permitted by applicable law. Nothing in this Disclaimer or in any agreement between Pyrite and a user limits Pyrite’s ability to cooperate with competent authorities in connection with any investigation, enforcement action, or legal proceeding concerning activities on or through the Platform.

11. Recovery of Legal Costs

If any user commences a claim, action, suit, or proceeding against Pyrite arising out of or relating to access to or use of the Platform, and Pyrite substantially prevails in defending such claim, that user shall reimburse Pyrite for its reasonable attorneys’ fees and all costs and expenses incurred by Pyrite in connection with such defense. This provision applies to the fullest extent permitted by applicable law.
